individual or through law firms which constitutes of persons
who are qualified to be admitted as an advocate with the

1.01 FIRM HISTORY
The law firm LEX Nexus was founded in 1998 as
a partnership in Mumbai amongst advocate Ms. Rina Pareshnath
Hathi and Ms. Binita S. Hathi, advocate and solicitor. The
firm then handled fair amount of non-contentious matters only.
The practice grew and then chose to establish for contentious
matters also in the year 1999. LEX Nexus also chose to
takeover the law firm "Hathi & Alliances" which was a
brainchild of a advocate and solicitor Mr. Shrikant Hathi.
Presently, the firm has three partners.
Additionally, the firm has associates and support staffs. The
partners are affiliated with the bar for 7-12 years.

9.01 OUR CHARGES
Our
Professional Charges are reasonable and “value for service”,
customized on case to case basis either in hourly basis, on
lump sum or on retainership or on other terms that may be
mutually agreed upon.
The Professional
Charges of LEX Nexus is on hourly basis, the rates depending
on the complexity of the matter, which range from US$ 80 - US$
250/hour for firm principals to US$35 - US$80/hour for
paralegal assistants, while disbursements are computed on
actual.
10.01 PAYMENT TERMS
Accountable
advance, as agreed should be deposited with LEX Nexus prior to
commencement of any work, either by Bankers Cheque in favour
of "LEX Nexus" or by irrevocable telegraphic transfer to our
bankers at "Standard Chartered" or "HDFC".
Initial 15
minutes of the professional work done by LEX Nexus is not
charged and is adjusted towards the final bill.
In certain
cases where there is expectation of atleast two matters in a
year LEX Nexus also accepts retainership proposals, the terms
and conditions of which are flexible and open to
discussion.
11.00 BILLING POLICY
Described below are our billing
policies and approaches to pricing our professional services.
With this, we set out our policies for charging and advancing
costs. The choice of the billing approaches is the client's
and firm's, at the commencement of a matter.
Our value
approach to billing, to rewarding clients who timely pay their
bills, and to bill expenses at cost (rather than as a profit
center) is positively distinct from that of many other law
firms. As you find these approaches helpful, we would be
grateful if you would refer us to others who would benefit
from our services, including our approach to billing.
We encourage our clients, and
potential clients, to ask questions about billing at the
beginning, and at any other stage of a matter. Serving our
clients is an honor and a trust. We encourage our clients to
ask us directly, "up front," and at any stage of a matter, how
much our services cost. It is the client's money, and enabling
the client to decide, and control how to spend the client's
money on legal costs is an essential part of the counseling
that we provide our clients.
We welcome the opportunity to bid
on legal work. We are confident that we can deliver value to
our clients for fees which compete favorably with those which
other lawyers might charge. We therefore encourage clients and
potential clients to seek us out to bid on legal work in
competition with other potential counsel.
01.Hourly Rates
We offer and most clients
choose billing at standard hourly rates. Clients choose
hourly rate billing because it is a familiar and certain
method for them to use to price our services and compare
them with other costs that may be involved in a legal
matter.
Our standard hourly rates range
from $80-$250/hour for firm principals to $35-$80/hour for
associates and paralegal assistants, and depend on the
nature of the client representation and complexity of the
matter. Disbursements are computed on actual. We enhance
the value that hourly billing provides our clients in
several ways.
We do not bill for travel time
on airplanes, trains, or other situations in which we can
devote the time for fee-generating matters. No client
should pay by the hour for a lawyer sit on an airplane or
in an airport, for example, when he or she could (and
should) be working for the client or for another client.
We use lower rate personnel,
including associates and paralegals, where that is
appropriate to the task. In certain instances, we also
offer a blended rate approach (which blends the rates of
timekeepers at different levels of seniority and
expertise) where a range of skills may be utilized on a
complex matter.
A shortcoming of standard
hourly billing, however, is that the client "bets" up
front that the matter will cost less than or equal to the
value that the client places on it. Its limitation --
which clients must be aware of before they make their
decision about a billing approach -- is that sometimes
after the matter is well under way, the hourly cost of
representation might exceed what the value of the matter
to the client.
To further enhance value to our
clients who choose an hourly rate approach, we encourage
our clients to combine it with other approaches set out
below.
02.Budgeting
We offer clients case budgets
estimating fees and expenses necessary to proceed with or
defend a case. Our budgets enable clients to assess the
costs against the benefits of the strategies that they can
pursue. The budgets also allow clients to plan their own
budgets, and in the case of insurance carriers, to set
reserves against litigation expenses.
In appropriate cases, we offer
budgeting as a billing device. Using a case budget, we
will agree that certain steps in litigation will be
performed for a flat fee, or, on an hourly basis with an
incentive payment (usually, an added percentage of our
normal hourly rates) for services concluded below budget
and a ceiling established by the budget.
03.Volume Discounting
We offer discounted fees to
clients who seek us out to provide a large volume of
services over an extended period of time. This can be on a
range of matters, or, on a particular matter (where, for
example, a large number of hours may be required).
04.Incentivized Fee
Arrangements
Our Professional Ethics does not allow
incentivised fee arrangements therefore we are unable to
offer this arrangement.
05.Performance Pool
A similar incentive-driven
approach is our billing at reduced rates, and the client
setting aside a pool from which the client awards
performance bonuses based on a set of criteria (which
might include results, efficiency, quality of work
product, and so on). On a periodic basis, the client in
its sole discretion evaluates our work and determines
payout from the performance pool.
06.Fixed Fee
We also offer a fixed fee for
certain stages of a matter, for example, for an assessment
of a defense or whether to proceed, or for later, discrete
tasks (such as review of documents), or for the entire
matter. Fixed fees can be calculated to be paid regardless
of the outcome of a matter, or using an incentivized
arrangement as set out above.
07.Contingency Fee
Our Professional Ethics does
not allow fees on contingency basis therefore we are
unable to offer on contingency or percentage basis.
08.Consultation Retainer
We also provide ongoing
counseling and other basic services for a fixed annual,
quarterly, or monthly fee. This approach provides for oral
advice which may include periodic visits to the client's
location by designated firm attorneys at a predictable
cost. With no concern about hourly or other charges, some
clients using this arrangement feel more free to explore
opportunities and strategies as they arise without concern
for incurring unbudgeted charges.
09.Pro Bono
We devote a significant amount
of time providing free legal services to the poor, to
volunteer and community organizations, and to others who
might not be able to afford legal services. We believe
that this is a part of our obligation as professionals and
duty as professionals to the justice system. We are
available to provide these services to appropriate persons
or organizations which our clients refer to us, and
welcome those referrals from our clients. More details can

10.Other Fee Approaches
Generally, as set out above, we
recognize that whether a fee approach meets the goal of
providing value to our clients, much depends on the matter
for which our clients seek our services. We therefore
welcome any other fee approaches which clients suggest, as
they are appropriate to the matter and to the firm.
To prepare bills, we use Time
slips. This allows for accurate, detailed bills and also
allows for clients to inquire easily, at any time in a
matter, about the amount of fees and expenses accrued to
date.
11.Costs
&
Disbursements
We agree with
the ethics that it is unethical for lawyers to
build profit into the expenses that they charge. To
paraphrase that opinion, a lawyer's "stock in trade" is
our professional advice, not tuna fish sandwiches.
Therefore, we bill expenses at cost and include many of
them as overhead.
12.Photocopies.
Our charge for photocopies is
.Indian Paise 60/copy.
13.Faxes
Fax communication is a standard
of business and legal life. We do not bill for incoming
faxes and bill only for telephone charges and for outgoing
faxes.
14.Other
charges are
billed at cost. Postage, courier, outside
photocopying, travel expenses, institution fees,
extraordinary office supplies (such as binding for
appellate briefs, transparencies, and the like),
deposition transcripts, court costs, trial exhibits,
expert and local counsel fees, and meeting expenses, are
all billed at cost with no "mark up." Envelopes, paper,
fax paper, pens, and other office supplies are included as
overhead in our hourly or similar fee charges to clients
(and not separately billed).
15.Staff overtime.
If it is required to
pay staff overtime when we must require the staff
(including paralegals) to work longer than an eight hour
day. We only bill staff overtime (and only that over and
above normal staff salary) to clients, however, when the
client asks for or necessitates the overtime (for example,
when an emergency motion must be prepared on late notice
from the client).
16.Advancement of
Costs.
In order to keep our overhead (and thus fees) low,
we ask clients to pay directly, or to advance by way of a
retainer significant costs (such as those for expert
witnesses and multiple deposition transcripts). We advance
normal expenses without any additional charge upon prompt
payment.

13.00 INTERNATIONAL NETWORKING OF LAW
FIRMS
LEX Nexus are the lead co-ordinator of
the international networking of global law firms "Associate
Network (Lawyers)" - ANL. Networking a concept prevalent in
logistic/channel management is the backbone of Associate
Network (Lawyers) which was conceptualized sometime in the
month of February, 2000 by LEX Nexus, a law firm in India as a
non-profit, "open source platform" of International Law firms
which is an innovative concept by itself. The principal
aims and objects of the network, primarily but not limiting to
are to make it easy for the associate to interact with
associates in the network; to foster community
ideas; to introduce lawyers to others with
common interest; to encourage lawyers to become
part of the “in crowd”; streamline process that
impact the client, by presenting ‘The whole product concept’
by fulfilling the ‘compelling value proposition’ by
outsourcing non-jurisdictional issue from members of other
relevant jurisdiction and presenting expected service to
clients.
The
preferred goals of the network
are…Preference given to Associate of the Network in
jurisdiction other than one’s own to represent client;
Exchange of information, ideas and research amongst
Associate in the Network; Every Associate to add the name of
the other Associates in their website (if any) etc as their
Associate; Meeting of Associate independently, collectively,
in sub-groups is encouraged; Being an “open source platform”
maintaining the kernel, associates in the Network are expected
to maintain, suggest, innovate, modify and expand the Network
for its betterment.
LEX Nexus represents
several client’s of foreign law firms also firms which are
outside the network of international law firm’s “Associate
Network (Lawyers)”-ANL although the network is co-ordinated by
LEX Nexus.

CAUSE
The firm
contributes 0.50 percent from the net profit of the firm
towards charity of the Child Relief and 0.50 percent from the
net profit of the firm to religious charitable institution
Tirupati-Tirumalai Devasthanam- TTD.

16.00 RECOGNITION OF SOLICITORS IN
INDIA
Hundred years
history of the Bombay Incorporated Law Society (the :Law
Society) is intermixed with the history of its Members then
known as “Attorneys” and further intermixed with the history
of the establishment of the Court of Judicature in Bombay. The
Law Society was formed and incorporated 222 years after the
advent of the first Attorney in Bombay and the establishment
of the first Court of Judicature in Bombay.
Despite the existence of the Dual
System, with the enactment of the Supreme Court Advocates
(Practice in High Court) Act, 1951, the Rules of the Bombay
High Court were amended in December, 1952, to provide for the
appearance of Advocates of the Supreme Court on the Original
Side of the High Court without being instructed by an
Attorney. In practice it had no impact on the dual
system.
The Advocates Act, 1961 came into
force on May 19, 1961 and is an Act to amend and consolidate
the law relating to Legal Practitioners and to provide for the
constitution of the Bar Councils and All India Bar Council.
Sweeping changes were made in the law relating to Legal
Practitioners. The existing law was contained in the Legal
Practitioners Act, 1879, the Bombay Pleaders Act, 1920, the
Indian Bar Council Act, 1926 and the Letters Patent of the
various High Courts. These Acts provided for several classes
of Legal Practitioners including Attorneys. The Act was
enacted to give statutory expression of the need for the
profession of law in India being integrated on an All India
basis. The main features of the Act were the establishment of
an All India Bar Council, a common Roll of Advocates having a
right to practise in any Court including the Supreme Court,
the integration of the Bar into a single class of Legal
Practitioners to be known as “Advocates” and the creation of
autonomous Bar Council, One for the whole of India and one for
each State. The Act when enacted recognized the continued
existence of the legal system known as the Dual System then
prevailing in the High Courts of Calcutta and Bombay and made
special provisions in that behalf. The said two High Courts,
if they so desired, could discontinue the system at any time.
The Bar Council of Maharashtra was constituted in 1961.
One of the
problems which the Law Society had to face and deal which was
the continuance of two classes of legal practitioners’
Barristers/Advocates on the one hand and Attorneys on the
other hand and working under the Dual System transplanted in
Bombay by the British following their English System. A Bill
was introduced to amend the Advocates Act, 1961 to abolish the
dual system. Ultimately, by the amendment effected to the
Advocates Act, 1961 by Act 107 of 1976 with effect from
January 1, 1977 the Dual System came to an end and from that
day all the different classes of legal practitioners were
fused into one class, namely, Advocates.
The Supreme Court of India
recognizes the qualification “Solicitors” and passed an Order
under Article 145 of the Constitution amending the Supreme
Court Rules and incorporating therein an express provision in
Order IV Rule 5(ii) (aa); viz. that a Solicitor on the rolls
of the Bombay Incorporated Law Society as being eligible for
exemption from training and tests and being eligible to be
enrolled as an Advocate on Record, under the Supreme Court
Rules. Likewise, the Law Society of England and Wales had also
recognized the qualification of an Attorney and after the
fusion of the class of legal practitioner known as Attorneys
in Bombay as Advocates, on a representation made by the Law
Society. The Law Society of England and Wales recognizes the
qualification of a Solicitor under the examinations held by
the Law Society after 1977 as candidates eligible for
qualifying as English Solicitor.
